These Terms of Service ("Terms") govern your access to and use of Minuvox, a free booking and appointment management platform. By accessing or using Minuvox, you agree to be bound by these Terms.
Important: If you do not agree to these Terms, you may not access or use our service.
1. Acceptance of Terms
By creating an account, accessing, or using Minuvox, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Minuvox on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Minuvox is a free booking and appointment management software designed for service-based businesses. We may display third-party advertising on the public marketing site to help cover operating costs (see Section 7 for details). The service includes:
- Calendar and appointment scheduling
- Client database management
- Staff scheduling and management
- Service catalog and pricing
- Invoice generation and tracking
- Business analytics and reporting
- Bulk import and export capabilities
- Audit trail and activity logging
Free to use: Minuvox is currently provided free of charge. To help cover hosting and development costs, we reserve the right to display third-party advertising on the public marketing site and, where it does not interfere with core booking functionality, within the application. Optional paid add-ons may also be introduced in future, but the core booking software will remain free.
3. Account Registration and Security
3.1 Account Creation
To use Minuvox, you must:
- Provide accurate and complete registration information
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Maintain and update your account information
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your account is not shared with unauthorized persons
4. Acceptable Use Policy
You agree NOT to use Minuvox to:
- Violate any laws, regulations, or third-party rights
- Transmit harmful, offensive, or illegal content
- Engage in fraudulent or deceptive activities
- Interfere with or disrupt the service or servers
- Attempt to gain unauthorized access to our systems
- Use automated tools (bots, scrapers) without permission
- Reverse engineer, decompile, or disassemble the software
- Remove, obscure, or alter any advertisements
- Resell or redistribute the service without authorization
- Spam or send unsolicited communications through our platform
5. Your Data and Content
5.1 Ownership
You retain all ownership rights to the data and content you create, upload, or store in Minuvox. This includes:
- Client information and contact details
- Booking and appointment records
- Business data and analytics
- Any other content you input into the system
5.2 License to Minuvox
By using our service, you grant Minuvox a limited, non-exclusive license to host, store, and display your data solely for the purpose of providing the service to you.
5.3 Data Responsibility
You are solely responsible for:
- The accuracy and legality of data you input
- Obtaining necessary consents from your clients
- Complying with data protection laws (GDPR, CCPA, etc.)
- Maintaining backups of your critical data
6. Intellectual Property
6.1 Minuvox Property
All rights, title, and interest in Minuvox, including the software, design, branding, and documentation, are owned by Minuvox or our licensors. This includes:
- Software code and architecture
- User interface and design elements
- Logos, trademarks, and branding
- Documentation and help materials
6.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to access and use Minuvox for your legitimate business purposes, subject to these Terms.
7. Advertisements
Minuvox does not currently display third-party advertising. We reserve the right to introduce advertising in the future to help cover hosting and development costs while keeping the booking software free to use. If and when advertising is introduced, by using our service you agree that:
- Advertisements may be displayed on the public marketing site and, where it does not interfere with core booking functionality, within the application
- Ad content may be provided by third-party networks such as Google AdSense
- You will not click on ads with intent to defraud advertisers
We will aim to keep any future advertising unobtrusive and clearly labelled. See our Privacy Policy for information on how third-party ad networks may collect data, and for the opt-out paths available to you (including opting out via the cookie consent banner, Google's Ads Settings, and the DAA / EDAA WebChoices pages).
8. Disclaimers and Warranties
8.1 "AS IS" Service
MINUVOX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that the service will be uninterrupted, error-free, or completely secure.
8.2 No Business Warranties
We disclaim all warranties, including:
- Fitness for a particular purpose
- Merchantability
- Non-infringement
- Accuracy or reliability of content
- Results from using the service
8.3 Your Responsibility
You are solely responsible for:
- Verifying booking information is correct
- Maintaining backup systems and processes
- Training staff on proper usage
- Compliance with applicable laws and regulations
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINUVOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Lost profits or revenue
- Loss of data or business information
- Business interruption
- Missed appointments or bookings
- Damage to reputation
Our total liability for any claim arising from your use of Minuvox shall not exceed the greater of $0 or $100 (as this is a free service).
10. Indemnification
You agree to indemnify, defend, and hold harmless Minuvox from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your use or misuse of the service
- Your violation of any laws or third-party rights
- Data you submit or share through the platform
11. Service Availability and Modifications
11.1 Uptime and Maintenance
We strive to provide reliable service but cannot guarantee 100% uptime. The service may be temporarily unavailable due to:
- Scheduled maintenance and updates
- Emergency repairs or security patches
- Server issues or technical difficulties
- Force majeure events beyond our control
11.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any feature or the entire service at any time without prior notice. We will make reasonable efforts to notify users of significant changes.
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in settings
- Contacting our support team
12.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- Your account is inactive for an extended period
- We suspect fraudulent or illegal activity
- Required by law or legal process
12.3 Effect of Termination
Upon termination:
- Your access to the service will cease immediately
- You will have 90 days to export your data
- After 90 days, your data will be permanently deleted unless legal requirements mandate longer retention for compliance or tax purposes
- Certain provisions of these Terms will survive termination
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising from these Terms or your use of Minuvox shall be resolved through:
- Good faith negotiation between the parties
- Mandatory mediation, if negotiation fails
- Court proceedings in South Africa as a last resort
Time Limit: Any claims must be filed within one (1) year after the cause of action arises, or they will be permanently barred.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Minuvox.
14.2 Severability
If any provision is found unenforceable, the remaining provisions will continue in full effect.
14.3 No Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.
14.4 Assignment
You may not assign or transfer these Terms without our consent. We may assign these Terms at our discretion.
14.5 Changes to Terms
We may update these Terms from time to time. Significant changes will be communicated via:
- Email notification to your registered address
- Prominent notice within the service
- Updated "Last Updated" date on this page
Continued use after changes constitutes acceptance of the updated Terms.
